This was more than any other cosmetic problem, including the straightness of the teeth.

The majority of adults (57%) do not believe that store-bought teeth whitening products are as effective as teeth whitening by a professional dentist.

ORAL AGREEMENT OF THE DIRECTORS OF A COMPANY TO SHARE THE PROFITS AND APPOINT A PERSON AS A DIRECTOR FOR THE SERVICE RENDERED BY THE PERSON: IMPLICATIONS OF BREACH OF SUCH AGREEMENT BY THE COMPANY UNDER THE LAWS IN FORCE IN NIGERIA

SCRIPT

A (managing director) and B were the only registered directors and shareholders of a Nigerian company. The company decided to enhance its business prospects, especially in the public sector, by involving C, who was expected to use both his experience and his political contacts to gain business advantage and expansion for the company. A and B orally agreed with C that the profits made by the company would be shared equally with C and that C would be appointed director of the company. Building on that agreement, C went a long way toward securing a contract for the company that caused A to commend C’s effort in a letter.

Consequently, C was appointed and instructed to act as Director of Business Development (DBD) of the company and other steps were taken to ensure that C was appointed director of the company as agreed orally by all parties. But no written resolution was ever passed to make C a director, nor was the company’s register of directors changed.

Consequently, the company was awarded a contract in which it made a total profit of N60,000,000 (only sixty million naira). Surprisingly, A and B refused to share these benefits with C.

INTRODUCTION

The scope of this article is to: identify related legal issues arising from the scenario; and assess the legal issues identified in light of existing legal principles (statutory and judicial). In addition, a brief attempt will be made to advise C on the strength or otherwise of her case.

LEGAL MATTERS

1. If C was in law a director of the company.

2. If it can be said that C is a partner of A and B.

3. If C was an employee or worker of the company.

4. If C is entitled to participate in the income obtained by the company

LEGAL POSITION IN ISSUES

1. If C was legally a director of the company:

In general, the question of who is a director of a company is more a question of law than of fact. Section 244 of the Companies and Allied Matters Act (CAMA) describes ‘a director of a company registered under this Act is a person duly appointed by the company to direct and manage the business of the company’. Without a doubt, the role of directors is as fundamental to the well-being of a company as blood is to the survival of the human body. Perhaps for this reason, company statutes around the world provide special provisions on the procedures for appointing and dismissing a director.

In light of the foregoing, it can be safely stated that C was not a director of the company because he was never validly appointed as such. Although, C was appointed as the Business Development Director (DBD) of the company, but nothing was done to modify the necessary company records in the Corporate Affairs register (CAC). In other words, the designation of C as DBD without presenting the necessary modifications in the company’s directors’ registry was a mere expression of will that was never perfected in law.

2. If it can be said that C is a partner of A and B:

According to Section 3 of the Lagos State Companies Act, the partnership is the relationship between persons carrying on business in common with a view to profit. From the legal definition above, a partner can be said to be a person who conducts business with other partners. It is imperative to examine the various statutory rules that determine the nature of the company. Article 4 of the Companies Law establishes as follows:

(a) “Joint tenancy, tenancy in common, joint ownership, common ownership, or partial ownership does not of itself create a partnership as to anything owned or owned, whether tenants or owners share or not the profits obtained by the use of the same.

(b) The distribution of gross returns does not by itself create a partnership, whether or not the persons sharing such returns have a joint or common right or interest in any property from which or the use of which the returns are derived. .

(c) The receipt by a person of a part of the profits of a business is prima facie evidence that he is a partner in the business, but the receipt of such a part or of a payment contingent on varying with the profits of a business, does not in itself make you a partner in the business; and in particular –

(I) the receipt by a person of a debt or other amount settled in installments or otherwise from the accumulated profits of a business does not in itself make him or her a partner in the business or liable as such;

(ii) a contract for the remuneration of a servant or agent of a person engaged in business for a portion of the profits of the business does not by itself make the servant or agent a partner in business or liable as such;… .”

From the foregoing it follows that the partnership is a matter of express agreement between the partners because the law ordinarily will not presume the existence of a partnership between persons doing business together. Suffice it to say then that: the mere contract entered into with a servant or person in exchange for remuneration or participation in the profits of the company does not ipso facto convert such servant or person into a partner.

It should be noted that the case of C falls within the scope of Section 4 (c) (ii). The legal implication of this is that C was a servant of the company who had a right to share in the company’s income. But he was not a partner in the strict legal sense.

3. If C was an employee or worker of the company:

It is imperative to first examine the Labor angle of the relationship that existed between the company and C before considering the strictly contractual aspect of the relationship. Accordingly, Section 91 of the Labor Law, ’employment contract’ means an ‘agreement, whether oral or written, express or implied, whereby one person agrees to employ another as a worker and that other person agrees to serve the employer as worker.

In the same sense, the Law defines a worker as “any person who has entered into or works under a contract with an employer, whether the contract is for manual or office work, whether express or implied, oral or written, and whether it is a service contract or a personal contract to perform any work or work…”

In the case of Iyere v. Bendel Feed & Flour Mill Ltd., the Supreme Court of Nigeria described an employment contract as follows:

”…a contract of employment connotes a contract of service or apprenticeship, whether express or implied, and if express, whether oral or written.”

Therefore, C was a worker or employee of the company because he actually worked for the company. In other words, enough instructions and instructions were given to C that point to the fact that C was working for and on behalf of the company when he was working as the company’s DBD.

From another point of view, the facts that concern us can also be approached from the sense of strict contractual agreement. It is trite in the law that the parties are bound by the terms of their agreement. In the case of Akanmu v. Olugbode, the Court held as follows:

“The elements of a valid contract are the offer, the acceptance, the consideration and the intention to enter into legal relations… Once the offer is unconditionally accepted, a valid contract exists.”

Likewise, in the case of Dragetanos Const. (Nig.) Ltda. v. FMV Ltd & Ors., the Court of Appeal held as follows:

”… it is timely and necessary to reaffirm the principle enshrined and rooted in Contract Law that, ‘pacta conventa quae neque contra leges neque dolo malo inita sunt, omni modo obsevanda servanda sunt’, in other words, agreements Contractual agreements that have not been fraudulently or illegally entered into by the parties must be observed or enforced in all respects.

Also, in the case of Nicon Hotels Ltd. v. Nene Dental Clinic Ltd, the Court of Appeal held as follows:

”An agreement entered into voluntarily must be carried out in good faith. Equity looks at the intention and not the forms and will always impute an intention to fulfill an obligation.

In light of the above, it is safe to say that a contract can be established between the company and C as evidenced by the various instructions given to C by A, the CEO of the company. Of course, the actions of the parties clearly show that there was an offer, acceptance, consideration and intention to create a legal relationship between all parties. Therefore, the decision of the company and the subsequent joint efforts made by all parties to secure a contract constitute a subsisting and enforceable contract between the parties.

4. If C had the right to participate in the income obtained by the company:

This issue primarily deals with the determination of C’s remuneration. Although the amicable oral understanding between the parties on profit sharing was not contained in any written “Profit Sharing Agreement”, the profits will be shared equally because the parties they had agreed orally. shared. However, it should be noted that an evidentiary problem may arise if A and B deny their oral agreement. It is also imperative to add that: Assuming without conceding that there was no agreement (oral or written) between A, B and C, the capital will still allow C to participate in profits based on C’s capital stock.

Therefore, it is safe to say that C is entitled to his own share of the company’s income due to his sweat capital (he actively contributed in the contract from which the company earned N60m). In fact, it was incorrect for A and B to convert only all the income earned by the company.

TIP FOR C

In light of the above, C can sue for breach of employment contract, or simpliciter breach of contract that can be deduced from the circumstances of both the actions and the relationship of the parties. As answered in the legal provisions above, the question of what constitutes an employment contract is a question of law. Of course, the exact remuneration of C is the same proportion as A and C of the total profits obtained by the company from the contract made by A, B and C.

It’s a bold and beautiful statement regarding the writing process. No rules. And if there are no rules, why the hell would anyone want to write about the writing process? If there are no rules, what’s the point of scripting an article like this?

What is a plot?

A story is what happened.

A plot tells you how it happened, point by point, twist by twist.

Easy.

If we have a story, why do we need a plot?

Because the plot is basically part of the structure of the piece you’re writing. Imagine you are building a house. The plot is like the strength and reinforcement points in the construction.

You can’t just throw in a load of bricks and lumber and expect to have a finished house that will last. The structure must be carefully and logically arranged, piece by piece, to ensure unity and good weight distribution. This same principle applies to your story plot: you need charge points and cornerstones in your structure to hold everything together.

In response to the question I first posed in the article: Yes, there are no rules, but that doesn’t mean you can’t CREATE YOUR OWN.

There are classic examples in literature where structure and plot are quite vague: Kerouac’s ‘On the Road’, in my opinion, has no real plot points or classic structure and illustrates the fact that you can write without any firm regard to neither. .

My previous points regarding plot and structure illustrate that there are vague principles of storytelling (not rules), but of course you are not bound by them. However, to avoid them, you must first know about them.

1. Understanding
Once you understand what plot and structure is, some writers may disagree with this, I think they are the same thing. When you understand what the plot/structure is about, the more confidence you will have in your writing.

2. Intuition
It will become second nature to you, and after many years of practicing your writing, you will be able to write a story INTUITIVELY, without worrying if your story has the right combination of elements. You will know, and knowing empowers you to focus on the most important aspects of your work, like the quality of your writing and dialogue.

3. Plot and premise
If you have a strong premise, your argument may still be weak. My favorite movie is Blade Runner, it has a great premise and a very loose plot. When your story ideas are strong and engaging, plot can become a secondary factor. I think this applies more to literature than screenwriting: it’s much harder to get away with it on the big screen, where immediacy is everything and the audience is used to the usual twists and turns of storytelling. Hollywood.

4. Execution
The plot is the execution of your original idea, but if that original idea is strong and engaging, then your plot can be almost an afterthought. Think of the worst book you have ever read. What was the bad part? It was probably misspelled, lifeless, and unbelievable. What if it was brilliantly written, 3D, and still amazing? Would it be so incredibly important? I doubt it.

People want to experience the joys of a vivid imagination. They will suspend their disbelief for you, if you give them something fresh and inventive.

Choosing isn’t always about standing still and letting the earth swallow you whole. Choosing often means knowing when to let go and get on a different path, as scary as it may seem and as lonely as you don’t want to feel. How else would growth occur? How else would you learn about love, compassion, trust, and friendship? You learn things through change, you often learn through suffering and pain because the discomfort is enough to project you out of the shell or cocoon you have grown up to be.

Please, please, my loves, don’t settle. Never settle! Life is short and yes, there are many people worth fighting for, but there are also many who need to be freed. You need to surrender your pride and your fears and release what was never yours to begin with. How do you know it’s not yours? Well, because nothing is. Everything is an experience that we share with others and the universe.

Live fully and completely. Wake up each morning with the power that today is the day to change to practice happiness and love through the decisions and choices you make. Take responsibility for your life and empower yourself.

Filters for inground and above ground pools: what is the difference?

Is there a big difference between filters for above ground pools and in ground pools? They both filter the water, right? Also, the manufacturer’s specs tell me this filter can filter up to a 20,000 gallon pool. So why should you pay more than double the price? The short answer is yes, but let’s not be stingy or stupid.

Those are typical and reasonable questions that many pool owners ask. Let’s look at some of the main differences between filters for above ground pools and in ground pools. But first we will see the similarities.

The similarities between inground and above ground pool filters are quite simple. The first similarity is that there are 3 types of pool filters: sand, diatomaceous earth (DE), and cartridge. The second similarity is that they work essentially the same way: a pump draws water from the pool through the skimmer, then the water is pumped through the filter tank and its media (sand, DE, or cartridge) and back into the pool. clean and filtered. .

The differences have to do with the plumbing or piping of the pool, the flow needed, and finally the size. Let’s discuss them in order.

Pool plumbing. The biggest difference may seem like the size and volume of the pool. But really, it’s more of a function of the pool’s plumbing. Most above ground pools have their filter system right next to the pool. Also, the filter and the pump and motor are usually located below the water level. In other words, the filter system is usually on the ground with the skimmer hose feeding directly to the pump and the filtered water going back into the pool’s return jet – gravity feed. Inground pools, on the other hand, can and do have many more feet of tubing and plumbing. On top of that, there are usually multiple skimmers or other suction lines, sometimes working together, sometimes not. Then there are multiple return fittings or “eyeballs” or jets. Here’s an example, my pool (only about 16,000 gallons) has a skimmer, bottom suction, and 2 return fittings. Each wall fixture has its own plumbing line. Even though the filter is only 15 feet from the pool, let’s see how many feet of tubing there are for each line. The skimmer and bottom suction are relatively close to each other, so each uses about the same amount of tubing: about 40 feet each line or a total of 80 feet going to the pump. Return fittings are on opposite sides of the pool. One return line is about 30 feet from the filter, the other is about 50 feet, another 80 feet. My pump and motor have to pull and push water a total of over 160 feet or TEN times the distance of an average above ground pool. Also, we have not mentioned the heater, valves, elbows and other accessories used in in-ground pools.

Simply put, FLOW is putting the correct amount of water through the system to properly filter the water. It’s not just about horsepower. In fact, most pool systems run on too much power. And that is a waste of energy and money. Think of it this way: All pipes or hoses (depending on their size or diameter) can only handle a certain amount of water flow, say that’s 100 gallons per minute (gpm), for example. You or the pool manager decide a new pump is needed. “Let’s use something a little bigger that will give you ‘better’ suction,” he says. Now installed a pump that pumps 125 gpm – great! Not so fast! Your pipes can only handle 100 gpm. Do you have better suction? Maybe. Are you using more power to run the larger pump? Definitely. Approximately 25% more energy. Not only that, but the filter doesn’t seem to filter as well as it used to. This is because the water is being pushed through the media too quickly (especially in the case of sand filters); the filtration system has to run longer because dirt cannot be trapped as easily.

But that’s only part of the flow discussion. The other part is something called “head”. The head is the height at which the pump must pull or push the water up. Most inground pools have their filters above the water level. Sometimes within one or two feet (less than 1 meter). Sometimes it can be 10 to 15 feet. The pump has to take all the water out of the pool 15 feet to the filter. Think of it this way: Is it easier to hold a glass of water above your head and pour it into your mouth, or to use a straw to sip (suck) it? In addition, there are solar heating panels (often installed on the roof of the house or in the pool shed) and fountains or other sources of water.

Size. Finally we come to size. Pool size. Filter size. All is important. Can an above ground filter system filter 20,000 gallons of pool water? Yes. But is an above ground filter system capable of properly pushing water through 100+ feet of tubing and creating enough circulation in the pool to push water down 6 or 8 feet deep and back up again? go up? Or how about doing all of that plus carrying the water 25 to 30 feet in various directions? Inground pumps are made to do all of that by pushing and pulling water. Surface bombs can’t.

How about the filter size? Inground pools typically hold 20,000 to 40,000 gallons of water. All that water needs to be filtered 2-3 times a day for best performance (see our Proper Circulation ezine article: “Circulation: The First Key to Good Pool Care” for more information). A larger filter is needed for the larger volume of water.

As a necessary aside, larger above ground pools (27 foot round and larger, and 18 x 33 oval and larger) should consider using an appropriately sized in-ground filter system. After the first season, many large above ground pools experience water quality problems due to inadequate filtration systems. Unfortunately, these pools are “hampered” by the problem of having only one skimmer and one return cut-off. Ask your local pool professional to set up your system correctly. Will it cost more initially? Yes, but you will be much more satisfied in the years to come.
